Section 1.
Contracts.
The Board of Directors may authorize any officer or officers, agent or agents, of

the Association, in addition to the officers so authorized by these Bylaws, to enter into any contract or

execute and deliver any instrument in the name of and on behalf of the Corporation and such authority

may be general or confined to specific instances.

Section 2.
Checks and Drafts.
All checks, drafts, or orders for the payment of money, notes, or other

evidence of indebtedness issued in the name of the Corporation shall be signed by the Executive Director

or such officer or officers, agent or agents, of the Corporation and in such manner as shall be determined

by resolution of the Board of Directors. In the absence of such determination by the Board of Directors,

such instruments shall be signed by the Treasurer or Assistant Treasurer and countersigned by the
302
President or the Vice President of the Corporation.

Section 3.
Deposits.
All funds of the Corporation shall be deposited in a timely manner to the credit of

the Corporation in such banks, trust companies, or other depositories as the Board of Directors may select.

ARTICLE IX CERTIFICATES

Section 1.
Evidence of Membership.
The Board of Directors shall provide for the issuance of

membership cards, decals, plaques, or other evidence of membership in the Corporation as may be
309
determined by the Board of Directors. The name and address of each member and the date of issuance of
310
membership shall be maintained in the offices of the Corporation.

Section 2.
Issuance of Membership Evidence.
When a member has paid any membership fee and dues

that may be required and is otherwise qualified under provisions of the Bylaws, the membership card or

other evidence that may be issued by the Corporation as evidence of membership shall be issued in the
314
member's name and delivered to the member by the Corporation.

Section 3.
Property Rights and Interest.
Membership cards or other evidence that may be issued by the
316
Corporation as evidence of membership shall not be transferred nor are they assignable. Any change in
317
ownership of a business dissolves its current IACA membership. The new ownership must reapply for
318
membership under the current existing membership criteria.
